1. ABOUT THESE TERMS

1.1 These Terms of Use govern access to and use of the website available at https://ostrai.ai and any pages forming part of that website (the “Website”).

1.2 The Website is operated by Ostrai Ltd (“OSTRAI”, “we”, “us” or “our”), a private company limited by shares incorporated in the Republic of Cyprus and registered with the Department of Registrar of Companies and Intellectual Property under registration number HE 378534.

1.3 By accessing or using the Website, you agree to use it in accordance with these Terms. If you do not agree with these Terms, you should not use the Website.

1.4 These Terms govern use of the Website only. They do not govern any regulatory advisory, representation, compliance, standards, market-access or other professional services supplied by OSTRAI or by any other service provider identified on the Website. Any such engagement is governed by its own written proposal, engagement agreement, mandate or other applicable contractual documentation.

2. OSTRAI AND THE SERVICES DESCRIBED ON THE WEBSITE

2.1 OSTRAI provides regulatory advisory, compliance, representation, standards, conformity and market-access services in areas including artificial intelligence, privacy and data, cybersecurity and product regulation, and digital regulation.

2.2 The Website describes areas in which OSTRAI and, where expressly identified, other service providers may offer services. Information concerning a service is descriptive only and does not constitute an offer capable of acceptance, a commitment to accept a mandate or an undertaking that a particular service is suitable or available for a particular organisation or matter.

2.3 Any engagement may be subject to appropriate scope, eligibility, regulatory, risk, onboarding, sanctions, conflict and other checks, as applicable. We may accept or decline a proposed engagement at our discretion, subject to applicable law.

2.4 Certain services appearing on the Website may be supplied by a separately identified entity rather than by Ostrai Ltd.

In particular, UK GDPR Representative services may be provided by PRIVACY MINDERS (UK) LIMITED.

Where a service is supplied by another entity, the relevant proposal, engagement agreement, mandate or service documentation will identify the contracting entity and the terms applicable to that service.

2.5 References on the Website to legislation, regulators, standards bodies, institutions, professional organisations or other third parties do not imply endorsement, sponsorship, partnership, agency or other formal relationship unless expressly stated.

3. WEBSITE CONTENT: GENERAL INFORMATION ONLY

3.1 Content published on the Website is provided for general information and regulatory intelligence purposes.

3.2 Website content does not constitute legal, regulatory, tax, financial or other professional advice and should not be relied upon as such. The application of legal and regulatory requirements depends on the relevant facts, circumstances, jurisdiction and timing.

3.3 Accessing the Website, reading an Insight, contacting OSTRAI or receiving a response to a preliminary enquiry does not, by itself:

(a) create a client, advisory, representative or other professional relationship;

(b) appoint OSTRAI or any other entity as a regulatory or authorised representative;

3.6 Although we take reasonable care in preparing Website content, you should verify current legislation, regulatory guidance, standards, decisions and other primary sources and obtain appropriate advice before taking or refraining from taking action in reliance on Website content.

4. CONTACTING OSTRAI

4.1 The Website may provide contact links, enquiry interfaces or email links enabling you to contact OSTRAI.

4.2 Sending an enquiry does not create an engagement or oblige OSTRAI to respond to, accept or act upon the enquiry.

4.3 You should not send highly sensitive, legally privileged or confidential material through an initial Website enquiry unless we have first confirmed that it is appropriate to do so.

4.4 Receipt of information through the Website or by preliminary email does not, by itself, create legal professional privilege, a professional relationship or a contractual confidentiality arrangement.

6.2 We may take appropriate technical or legal measures where we reasonably believe that the Website is being accessed or used unlawfully or contrary to these Terms.

6.3 We may report suspected unlawful activity to competent authorities where appropriate or required by law.

7. AUTOMATED EXTRACTION, TEXT AND DATA MINING AND AI TRAINING

7.1 Except to the extent expressly permitted by OSTRAI in writing or required by applicable mandatory law, you must not systematically access, scrape, crawl, harvest, copy, extract, reproduce or compile Website content by automated means for the purpose of:

(a) creating or enriching a commercial dataset, database or content repository;

(b) reproducing or republishing substantial parts of the Website;

(c) developing a competing information, intelligence or publication service;

(d) training, fine-tuning, evaluating or grounding an artificial intelligence or machine-learning model or system;

(e) text and data mining or similar computational analysis, except to the extent that the relevant use cannot lawfully be reserved or restricted;

(f) otherwise exploiting Website content at scale.

7.2 To the extent that Ostrai Ltd or its licensors are rightholders in Website content and such reservation is legally available, Ostrai Ltd expressly reserves the relevant rights in respect of text and data mining, including the reservation contemplated by Article 4(3) of Directive (EU) 2019/790, as implemented in applicable national law.

7.3 This reservation is without prejudice to any use that cannot lawfully be restricted or reserved, including applicable mandatory statutory exceptions.

7.4 Nothing in this Clause is intended to prevent ordinary search engines from indexing publicly accessible pages for the purpose of providing conventional search results, subject to the Website's applicable robots instructions and other machine-readable controls.

7.5 OSTRAI may supplement these Terms with machine-readable rights reservations, crawler instructions, metadata or other technical measures.

8. INTELLECTUAL PROPERTY

8.1 The Website and its content may be protected by copyright, trade mark, database and other intellectual-property rights. Unless otherwise stated, Ostrai Ltd owns or licenses the relevant rights in original OSTRAI content, or otherwise uses such content lawfully. Nothing in these Terms should be read as claiming ownership of rights belonging to third parties or of material that is not protected by applicable intellectual-property law.

8.2 Website content may also contain materials, quotations, trade marks, publications, photographs or other content belonging to third parties. Rights in such material remain with the relevant rightholders.

13.3 The exclusion in Clause 13.2 applies regardless of the legal basis on which liability is alleged, including contract, tort (including negligence), breach of statutory duty or otherwise, to the extent permitted by applicable law.

13.4 Nothing in these Terms excludes or limits any liability, right or remedy to the extent that it cannot lawfully be excluded or limited.

13.5 If you use the Website as a consumer, nothing in these Terms affects any mandatory rights or remedies available to you under applicable consumer law.

14. REGULATORY AND PROFESSIONAL STATUS

14.1 OSTRAI is a regulatory advisory and representation business.

14.2 The Website may describe work concerning European and international privacy, digital, artificial-intelligence, cybersecurity, product, standards, conformity and market-access frameworks, including regulatory or authorised representation where provided for under applicable legislation.

14.3 Ostrai Ltd is not a law firm and does not hold itself out through this Website as practising law or providing legal services that applicable law reserves to advocates or other authorised legal professionals.

14.4 Nothing on the Website creates a lawyer-client relationship between a Website visitor and Ostrai Ltd.

14.5 Where a matter requires services from a separately regulated professional provider, those services are not supplied under these Website Terms and will be subject to the terms of the relevant provider.

14.6 The exact nature and scope of any OSTRAI service, the service provider, any statutory appointment or mandate, and the responsibilities of the parties are determined by:

(a) applicable legislation;

(b) the circumstances of the engagement; and

(c) the applicable written engagement agreement, mandate or other service documentation.

14.7 References to OSTRAI's participation in standards activities, working groups, committees, conferences, regulatory discussions or external publications describe the relevant activity only and do not imply endorsement of OSTRAI by the institution or organisation concerned unless expressly stated.

15. CHANGES TO THE WEBSITE AND THESE TERMS

15.1 We may change the Website, its content or its structure from time to time.

15.2 We may also revise these Terms where appropriate, including to reflect changes to the Website, our activities, applicable law or regulatory requirements.

15.3 The date of the latest revision will be stated at the beginning of these Terms.

15.4 Revised Terms apply to use of the Website from the date on which they are published, subject to any rights that cannot lawfully be affected in this way.

16. GOVERNING LAW AND JURISDICTION

16.1 These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Republic of Cyprus.

17. GENERAL

17.1 If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will apply to the maximum extent permitted and the remaining provisions will continue in effect.

17.2 A failure or delay by OSTRAI in exercising a right under these Terms does not constitute a waiver of that right.

17.3 Headings are included for convenience only and do not affect the interpretation of these Terms.
